THE GAME OF SATOSHI TERMS & CONDITIONS

These Terms & Conditions (“Terms”) govern your participation in The Game of Satoshi (the “Game”), operated by Marek Safarik, a Panama-incorporated company (“Company,” “we,” or “us”). By registering, paying the entry fee, and/or participating in the Game, you (“you” or “Player”) agree to these Terms in full. If you do not agree, you must not register or participate.

## 2. ELIGIBILITY & RESTRICTIONS
2.1 **Minimum Age.**
You must be at least **15 years old** on the date of registration to participate. By registering, you represent and warrant that you meet this age requirement.
2.2 **Geographic Exclusions.**
Residents of **Panama** are **ineligible** to participate. *Any Panama-based entry will be void, and any refunds issued as per Section 3.3.* All other nationalities may participate, provided they comply with local laws.
2.3 **Account & Registration.**
a. To participate, you must register via the online form and pay the applicable fee.
b. You must provide your full name, a valid email address, and your mailing address.
c. No proof of identity or address is required at registration; however, we reserve the right to request additional verification if we suspect fraud or cheating.
2.4 **One Account per Person.**
Each Player may register and play using **only one email address/account**. Multiple registrations by the same person are prohibited. Violation of this rule will result in immediate disqualification (see Section 5.4).
2.5 **Excluded Persons.**
Company employees, contractors, and affiliates directly involved in creating or administering the Game are not eligible to win prizes.

3. ENTRY FEE, PRICING & PAYMENT
3.1 **Entry Fee Schedule.**
The entry fee grants access to all 12 episodes, quizzes, interactive features, and eligibility to win the Bitcoin prize. The fee schedule is:
* **\$25 (USD)** per Player from June 1 2025 through June 30 2025.
* **\$30 (USD)** per Player from July 1 2025 through August 31 2025.
* **\$35 (USD)** per Player from September 1 2025 through October 14 2025.
* **After October 15 2025**, the fee increases by **\$5 USD** after each episode release. Since there are 12 episodes, each new episode release raises the fee by \$5, up to a maximum of \$100 USD once all 12 episodes are live. For example:
* Episode 1 drops October 15 2025; new entry fee becomes \$40.
* Episode 2 drops October 22 2025; new entry fee becomes \$45.
* …
* Final entry fee capped at \$100 USD once all episodes are released (January 3 2026).
3.2 **Payment Methods.**
a. We accept payments in **USD via Stripe** (credit/debit cards) and in **Bitcoin** (on-chain or Lightning Network).
b. Stripe payment accounts must be linked to our Panama company; Stripe onboarding is subject to Stripe’s approval of a Panamanian merchant account.
c. Bitcoin payments must be sent to the address displayed at checkout; no other address is valid unless expressly authorized by us in writing.
3.3 **Refund Policy.**
You may request a **full refund** within **24 hours** of your payment, regardless of whether any Game materials have been accessed. After 24 hours, **no refunds** will be granted, except as otherwise provided in Section 4.5 (prize roll-over or cancellation).

4. PRIZE POOL & WINNER SELECTION
4.1 **Prize Pool Funding.**
a. **50 %** of all entry fees collected will be placed into a Bitcoin prize pool. The remaining 50 % covers operations and production costs.
b. We also aim to secure up to **1 BTC** from sponsors. If sponsorship funds are not fully obtained, the prize structure will adjust as described in Section 4.4.
4.2 **How to Win.**
To win the 1 BTC prize, you must, in the secure Members Area:
1. **Complete an online quiz** after watching each episode. Each episode’s quiz is based solely on content revealed in that episode. Passing the quiz unlocks access to the seed-phrase clues for that episode.
2. **Collect all 12 seed-phrase words** (one or two words hidden per episode). These clues align with Satoshi’s story and require careful attention to in-video hints.
3. **Decode the final passphrase** (the 12-word BIP 39 seed phrase) and **submit your entry** (both the seed phrase and the final riddle answer) via the submission form in the Members Area.
Submissions are only accepted after Episode 12 has been released.
4.3 **Submission Period.**
a. After Episode 12 releases on **January 3 2026**, the submission window opens immediately and closes at **11:59 PM UTC on June 30 2026**.
b. Late submissions will not be accepted. No extensions.
4.4 **Tie-Breaker & Prize Structure.**
a. If **one** valid, correct submission is received, that Player is the sole Winner of the 1 BTC prize.
b. If **multiple** valid submissions arrive at the **exact same timestamp**, the prize is split equally among those Players.
c. If **no** Player submits a correct seed phrase and final answer by June 30 2026, **all prize funds roll over to Season 2** (i.e., no refund to Players).
4.5 **Insufficient Prize Pool Adjustment.**
a. We guarantee that at least **1 BTC** will be awarded as prize money if sponsorship funding meets that target. If, by January 3 2026, sponsorship funding falls short of 1 BTC, then the prize pool will consist of:
* 50 % of entry fees (collected through final submission deadline).
* Plus any sponsor funds actually received (up to 1 BTC total).
b. If the total pooled Bitcoin is **less than 1 BTC**, the prize breakdown shall be:
* **1st place:** 60 % of the pooled BTC.
* **2nd place:** 30 % of the pooled BTC.
* **3rd place:** 10 % of the pooled BTC.
(Only if and only if sponsorship plus entry fees < 1 BTC.)
c. Should pooled Bitcoin be **exactly 1 BTC or greater**, then the Winner(s) as per Sections 4.2–4.4 receive exactly 1 BTC (any excess sponsor funding beyond 1 BTC reverts to Company and is used for Season 2 operations).
4.6 **Taxes & Withholding.**
a. **No taxes or withholding** will be deducted from the Winners’ prize funds by the Company.
b. Each Winner is solely responsible for any tax reporting or payment obligations in their home jurisdiction.
c. We will provide any necessary tax documentation to Winners upon request (e.g., proof of payout).

5. GAME RULES & CODE OF CONDUCT
5.1 **How to Participate.**
a. Purchase an entry via the website and register with a valid email address.
b. Watch each episode (released weekly from October 15 2025 through January 3 2026).
c. Complete the quiz for each episode to unlock seed-phrase words.
d. Assemble all 12 seed-phrase words into the correct order (BIP 39 standard).
e. Decode and submit the final passphrase and riddle answer in the Members Area after Episode 12.
5.2 **Collaboration & Sharing.**
a. **Individual Entries Only:** You may collaborate informally with friends, but each Player must register under a unique email and submit their own entry.
b. **No Public Spoilers:** If you publicly share answers, clues, or seed-phrase words, you risk losing your competitive advantage (since there is randomness in how the clues combine) and may undermine your ability to win. However, public sharing alone is not grounds for disqualification unless it violates Section 5.4.
5.3 **Attempts & Limits.**
a. Each Player may submit up to **5 attempts per day** in the final submission form.
b. Any attempt that uses automated scripts, “bots,” or other non-human means to submit solutions will be detected by our system. Such attempts are invalid and will lead to disqualification.
5.4 **Disqualification.**
We reserve the right, in our sole discretion, to **disqualify** any Player who:
a. Registers multiple accounts under different email addresses.
b. Uses bots, scripts, or any automated system to submit entries.
c. Engages in collusion with the intent to cheat (e.g., paying someone else to decode for you).
d. Impersonates another Player or provides false information to evade limitations.
e. Engages in any fraudulent or deceptive behavior.
Disqualified Players forfeit all rights to refunds, prizes, and future participation.

6. INTELLECTUAL PROPERTY & CONTENT USAGE
6.1 **Ownership.**
All Game content—including episodes, quizzes, puzzles, logos, trademarks, graphics, and website text—is the exclusive property of the Company. By participating, you receive **no ownership rights** to any content.
6.2 **Limited License to View & Share.**
a. You may watch, stream, and view the episodes and quizzes for personal, non-commercial use only.
b. You may share video clips or screenshots **only** if you:
1. Include a visible credit: “© The Game of Satoshi, [www.thegameofsatoshi.com.”](http://www.thegameofsatoshi.com.”)
2. Do not alter, edit, or remove any credits or watermarks.
3. Do not use the content for commercial purposes.
6.3 **No Reposting of Quizzes or Seed Clues.**
Reposting of quiz questions, seed-phrase clues, or final riddles in full or in part is **strictly prohibited**. Excerpts (≤ 5 seconds) used for commentary or news reporting, accompanied by proper attribution, are permitted under fair use.
6.4 **DMCA & Copyright Notices.**
If you believe any content on our site infringes your copyright, please send a written notice to \[[legal@thegameofsatoshi.com](mailto:legal@thegameofsatoshi.com)] with sufficient detail for us to investigate.

7. PRIVACY & DATA
7.1 **What We Collect.**
When you register, we collect:
* Full name
* Email address
* Mailing address
* Telephone number (optional)
* Payment information (via Stripe or Bitcoin address)
7.2 **Use of Your Data.**
a. We use your data to:
1. Verify eligibility and enforce these Terms.
2. Process payments and issue refunds.
3. Provide you with marketing and sales communications (Players are automatically opted in, but can opt out anytime via the “unsubscribe” link in our emails).
4. Notify Winners and verify identities for prize distribution.
5. Handle customer service inquiries.
7.3 **Sharing Your Data.**
a. We will never sell your personal information to third parties.
b. We may share your data with:
1. Our payment processor (Stripe) and our Bitcoin-custody provider to facilitate transactions.
2. Government or legal authorities if required by subpoena, court order, or other legal process. This includes revealing Winners’ personal details if demanded by a lawful governmental entity.
3. Service providers who assist us with website hosting, email distribution, analytics, or marketing—provided they agree to keep your data confidential.
7.4 **Data Security.**
We implement reasonable technical and organizational measures to protect your data (encryption, secure servers, limited access). However, no system is completely secure. We cannot guarantee absolute protection against unauthorized access.
7.5 **Retention Period.**
We retain your personal data for as long as you remain a registered Player and for a reasonable period (2 years) thereafter to handle any disputes or legal obligations.

8. WARRANTIES, DISCLAIMERS & LIMITATION OF LIABILITY
8.1 **No Guarantee of Winning.**
a. While we will earnestly seek up to 1 BTC in sponsorships, we do not guarantee a 1 BTC prize if sponsorship funds fall short. In that event, see Section 4.4 for the adjusted prize breakdown.
b. You acknowledge that winning the prize depends on your quiz performance, clue decoding, timing, and random arrangement factors.
8.2 **Disclaimers.**
a. **“As Is” Basis:** The Game is provided “as is” and “as available” without warranties of any kind, express or implied. We do not warrant that:
1. The Game will be uninterrupted, timely, secure, or error-free.
2. The results obtained from the Game will be accurate or reliable.
3. Any technical defects, viruses, or bugs will be fixed.
8.3 **Limitation of Liability.**
To the fullest extent permitted by law:
a. Under no circumstances shall the Company, its officers, directors, employees, agents, affiliates, suppliers, or partners be liable for any indirect, incidental, special, consequential, or punitive damages (including lost profits, data loss, business interruption) arising out of or relating to your participation in the Game, even if we have been advised of the possibility of such damages.
b. Our total cumulative liability to you for any claim relating to the Game shall not exceed the sum of **all entry fees** you have paid in connection with your account.
c. By paying the entry fee, you acknowledge that any remedy you may have, at law or in equity, is limited to the amount you paid to enter the Game.
8.4 **Indemnification.**
You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, agents, and affiliates from any claim, demand, loss, liability, or expense (including reasonable attorneys’ fees) arising out of or relating to:
a. Your breach of these Terms,
b. Your violation of any law or the rights of a third party,
c. Your participation in the Game (including your User-Generated Content),
d. Any fraud, cheating, or misuse of the Game by you.

9. GOVERNING LAW & DISPUTE RESOLUTION
9.1 **Governing Law.**
These Terms and any dispute arising from or relating to the Game shall be governed by and construed in accordance with the laws of the **Republic of Panama**, without regard to its conflict of laws principles.
9.2 **Dispute Resolution.**
a. **Informal Resolution:** If a dispute arises, you agree to first contact us at [legal@thegameofsatoshi.com](mailto:legal@thegameofsatoshi.com) to attempt to resolve the issue informally.
b. **Arbitration:** If we cannot resolve the dispute informally within 30 days, any remaining controversy or claim shall be settled by **binding arbitration** in Panama City, Panama, under the rules of the **Panama Center for Arbitration (Centro de Arbitraje de Panamá)**. The arbitration will be conducted in English. Judgment on the arbitration award may be entered in any court having jurisdiction.
9.3 **Class Action Waiver.**
You agree that any arbitration or lawsuit will be limited to your individual claim. You waive any right to participate as a plaintiff or class member in any purported class, collective, or representative proceeding.

10. TERMINATION & MODIFICATION
10.1 **Termination by Company.**
We may, in our sole discretion and without prior notice, terminate or suspend your access to the Game (or any portion thereof) for any reason, including but not limited to:
a. Breach of these Terms.
b. Cheating, fraud, or abuse.
c. Technical or security issues.
d. Discontinuation of the Game.
Upon termination, all rights granted to you hereunder will immediately cease, and you forfeit any remaining entry fees and prize eligibility.
10.2 **Modification of Terms.**
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you via the email address you provided or by posting a prominent notice on our website. Continued participation after notice constitutes acceptance of the updated Terms.
10.3 **Game Cancellation or Changes.**
a. If we determine, in our sole discretion, that the Game cannot proceed as planned (due to insufficient participants, technical issues, or other unforeseen circumstances), we may cancel or modify the Game.
b. If cancellation occurs **before** Episode 1 is released, full refunds (within 30 days) will be issued to all Players who requested them within the 24-hour window.
c. If cancellation occurs **after** Episode 1 but **before** Episode 12 is complete, no refunds will be provided; however, any prize pool funds will roll over to Season 2.
d. We will notify all registered Players of any such cancellation or material change by email.

11. MISCELLANEOUS
11.1 **Severability.**
If any provision of these Terms is held to be invalid or unenforceable, that provision will be struck, and the remaining provisions will remain in full force and effect.
11.2 **Entire Agreement.**
These Terms (including any additional rules or policies expressly referenced herein) constitute the entire agreement between you and the Company concerning the Game and supersede all prior or contemporaneous agreements, understandings, or representations.
11.3 **Waiver.**
No failure or delay by the Company in exercising any right under these Terms will constitute a waiver of that right.
11.4 **Notices.**
All notices required or permitted under these Terms shall be in writing and delivered to the email address you provided upon registration or to [legal@thegameofsatoshi.com](mailto:legal@thegameofsatoshi.com).
11.5 **Assignment.**
You may not assign or transfer these Terms or your rights hereunder, by operation of law or otherwise, without the Company’s prior written consent. The Company may freely assign these Terms.
